Introduction

These Terms & Conditions ("Terms", "Agreement") govern your access to and use of the websites, services, products, digital solutions, consulting, development, hosting, security, and branding services provided by Veloce Digital ("Veloce Digital", "Veloce", "we", "us", or "our").

By accessing our website, requesting a quotation, purchasing a service, approving a project, making payment, or otherwise engaging with Veloce Digital, you ("client", "you", or "your") agree to these Terms. If you do not agree with these Terms, you should not purchase or use our services.

These Terms should be read together with our Privacy Policy and any project-specific proposal, quotation, statement of work, invoice, or service agreement issued by Veloce Digital. Where a project-specific written agreement conflicts with these Terms, the project-specific agreement controls only to the extent of that conflict.

About Veloce Digital

Veloce Digital provides digital services including, but not limited to, website design and development, e-commerce development, UI/UX design, branding and visual identity, search engine optimization, security audits and assessments, AI automation, business workflow automation, hosting and deployment, website maintenance, digital consulting, and performance optimization. Services may be delivered directly by Veloce Digital or through approved technology providers, hosting providers, contractors, or third-party platforms where reasonably required to deliver the service.

Acceptance of Projects

A project may be considered accepted when: the client approves a proposal or scope of work; the client makes a required deposit or payment; the client provides written confirmation to begin; the client provides required project materials after receiving a proposal; or Veloce Digital begins work following the client's written approval. Once a project has been accepted, cancellation, refunds, deposits, and outstanding payments are handled according to the applicable proposal, invoice, or these Terms.

Quotations & Pricing

All quotations are based on the requirements known to Veloce Digital at the time of quotation, and may specify project scope, deliverables, estimated timeline, price, payment schedule, revision limits, hosting requirements, third-party costs, maintenance requirements, and exclusions. Unless expressly stated otherwise, third-party expenses — such as domains, hosting, premium plugins, software subscriptions, API fees, stock assets, fonts, paid SaaS services, payment gateway fees, and third-party licenses — are not included in our service fees.

Payments

You agree to pay all invoices according to the payment schedule stated in the applicable proposal or invoice. Unless otherwise agreed: deposits are required before project commencement; work may be paused when payments become overdue; final deliverables may be withheld until outstanding amounts are paid; and third-party recurring costs must be paid before the related service is activated or renewed. Late payments may result in project suspension, delayed delivery, hosting suspension, removal of temporary access, or additional administrative charges where permitted by the applicable agreement.

Website Design & Development

Veloce Digital will develop websites according to the agreed project scope. You are responsible for providing accurate business information, logos, images, text, product information, pricing, legal information, contact information, and account credentials where required. Unless expressly included in your proposal, the following are not automatically included: unlimited revisions, unlimited pages, unlimited products, professional photography, professional copywriting, legal documents, trademark registration, paid software, third-party integrations, or ongoing maintenance. Changes outside the agreed scope may result in additional charges.

Revisions & Change Requests

The number of included revisions is determined by your project proposal. A revision means a reasonable modification to an agreed deliverable — it does not include a complete change of direction after approval, such as replacing the original design concept, adding new pages or functionality, changing the technology stack, adding new integrations, or adding new products or systems. Additional work of this kind may be quoted separately.

Client Responsibilities

You agree to: provide accurate information; provide required materials on time; provide lawful content; maintain ownership or licensing rights for supplied materials; provide access credentials where necessary; review deliverables; communicate required changes clearly; make payments on time; and ensure your final business practices comply with applicable laws. Delays caused by you may affect the estimated delivery date.

Intellectual Property

Unless otherwise stated in writing, Veloce Digital retains ownership of reusable development frameworks, internal tools, proprietary code libraries, generic components, templates, development methods, internal automation systems, and other non-client-specific processes. Upon full payment, you receive the rights specified in the applicable project agreement for the final client-specific deliverables. You retain ownership of materials you supply, subject to your having the legal right to use those materials. Third-party software, fonts, images, libraries, APIs, plugins, and services remain subject to their respective licenses.

Portfolio & Marketing Rights

Unless you expressly request otherwise in writing, Veloce Digital may identify completed work as part of its portfolio — including website screenshots, project descriptions, publicly visible pages, business name, and publicly available branding. We will not intentionally publish confidential information you have specifically identified to us as confidential.

Hosting & Deployment

Where Veloce Digital provides hosting or deployment services, the service relies on third-party infrastructure providers and may be subject to provider outages, maintenance, network or hardware failures, attacks, traffic spikes, or upstream service interruptions. We use reasonable efforts to maintain service availability but do not guarantee uninterrupted availability unless a separate SLA expressly provides such a guarantee. Hosting fees are generally recurring and may be subject to renewal terms.

Security Audits

Security audits are performed within the agreed scope and may include vulnerability identification, configuration review, application testing, network assessment, web security testing, authentication testing, and security recommendations. Security testing will only be performed against systems for which you have provided appropriate authorization; you must not request testing against systems belonging to another party. A security audit does not guarantee that every vulnerability will be identified — security is an ongoing process, and new vulnerabilities may appear afterward. We are not responsible for vulnerabilities introduced after the assessment because of changes made by the client or another third party.

SEO Services

SEO services may include technical SEO, on-page optimization, metadata optimization, keyword research, content recommendations, performance recommendations, and search visibility improvements. Results depend on numerous factors outside our control, and we do not guarantee a specific ranking, traffic level, number of leads, revenue amount, or time to achieve results.

AI Automation

AI automation services may involve AI assistants, automated workflows, business process automation, customer support automation, data processing, API integrations, third-party AI models, and software agents. AI systems can produce inaccurate, incomplete, unexpected, or inappropriate outputs. You remain responsible for reviewing important AI-generated outputs before relying on them where human review is appropriate. AI automation must not be used for unlawful activities.

Third-Party Services

Veloce Digital may use third-party services including hosting providers, cloud infrastructure, domain registrars, payment processors, analytics services, email services, AI providers, APIs, CDN services, security services, and software libraries. These services have their own terms, policies, pricing, and availability requirements. You agree that Veloce Digital is not responsible for independent actions, outages, policy changes, or failures of third-party providers outside our reasonable control.

Client Content & Lawful Use

You must not provide or request the use of content that infringes intellectual-property rights, violates applicable law, contains malware, facilitates unauthorized access, promotes illegal activity, unlawfully exposes personal information, or violates third-party rights. We may suspend work involving unlawful or unsafe requests.

Confidentiality

Each party agrees to protect confidential information received from the other, including credentials, source code, business strategies, customer information, technical architecture, financial information, private documents, and non-public product information. Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed, or must be disclosed by law or lawful authority.

Data Protection

Veloce Digital may collect and process personal information as described in our Privacy Policy, including region-specific notices for India and Pakistan in the Regional Data Protection Notices section. Where we process client data on your behalf, you remain responsible for ensuring you have the appropriate authority, notices, permissions, and legal basis required for that processing. Please don't provide us unnecessary sensitive personal information. Additional data-processing terms may be required for certain projects.

Security Incidents

If Veloce Digital becomes aware of a security incident affecting client information within systems under our control, we will take reasonable steps to investigate and mitigate the incident, and where legally required or contractually agreed, will notify affected clients. No system can be guaranteed to be completely secure.

Suspension & Termination

Veloce Digital may suspend or terminate services if payment remains overdue, you materially breach these Terms, you request unlawful activity, you abuse our systems, you attempt unauthorized access, continuing the service creates significant security risk, or required third-party services become unavailable. Upon termination, you remain responsible for amounts already due.

Refunds & Cancellation

Refund eligibility depends on the service and applicable project agreement. Work that has already been completed may not be refundable, and third-party fees may be non-refundable. Custom development, design work, consulting, audits, and setup services that have already been performed may be excluded from refunds. Any specific refund policy stated in a signed proposal or invoice takes precedence over this section.

Warranties & Disclaimers

Veloce Digital performs services with reasonable professional care. Except where expressly stated in writing, services are provided without guarantees of uninterrupted operation, specific business results, specific search rankings, specific revenue or conversion rates, complete security, error-free software, or uninterrupted third-party services.

Limitation of Liability

To the maximum extent permitted by applicable law, Veloce Digital will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our services. To the maximum extent permitted by law, our aggregate liability relating to a specific service will not exceed the amount you actually paid us for that service during the applicable period, except where such limitation is prohibited by law. Nothing in these Terms excludes liability that cannot legally be excluded.

Indemnification

You agree to indemnify and hold Veloce Digital harmless from claims arising from unlawful client content, your misuse of services, infringement caused by client-provided materials, unauthorized access caused by client credentials, your violation of applicable law, or your violation of third-party rights.

Force Majeure

Veloce Digital will not be responsible for delays caused by events beyond our reasonable control, including natural disasters, war, civil unrest, government actions, internet failures, major infrastructure outages, cloud-provider failures, cyberattacks, widespread software failures, power failures, or telecommunications failures.

Electronic Communications

You agree that communications may occur electronically through email, WhatsApp, project-management platforms, website forms, electronic documents, or other agreed digital communication channels. Electronic approvals and communications may be used as evidence of project instructions and acceptance, subject to applicable law.

Governing Law

These Terms are governed by the applicable laws of Pakistan, subject to any mandatory legal requirements applicable to you or the transaction. Any dispute should first be addressed through good-faith negotiation; if it cannot be resolved that way, the parties may pursue the appropriate legal remedy available under applicable law.

As of the last-updated date of these Terms, Pakistan has not enacted a comprehensive, standalone data protection statute. The Prevention of Electronic Crimes Act, 2016, as amended by the Prevention of Electronic Crimes (Amendment) Act, 2025, governs unauthorized access to and misuse of electronic data and is enforced by the National Cyber Crime Investigation Agency. A Personal Data Protection Bill has been drafted and cabinet-approved but is not yet law. For clients located in India, or where services are directed at individuals in India, the Digital Personal Data Protection Act, 2023 may separately apply to the processing of personal data connected to that engagement — see our Privacy Policy for details.

Changes to These Terms

Veloce Digital may update these Terms from time to time. Updated Terms will be published with a revised "Last Updated" date, and changes will generally apply prospectively unless applicable law requires otherwise.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Entire Agreement

These Terms, together with applicable proposals, invoices, statements of work, service agreements, and policies, constitute the agreement between Veloce Digital and the client concerning the applicable services.
